§ 1 Your Account

You may need an account to access certain features. You are responsible for your account credentials and all activities that occur under your account. Do not share your credentials or allow others to access your account. If you suspect your account is compromised, please contact us immediately.

You can permanently delete your account and all associated data through your account settings. This action is immediate and irreversible. Deleting your account will also permanently remove all of your shared report links (/share).

§ 2 Your Data

As between you and TypeSpan, you retain all ownership rights in and to your time tracking data, font metadata, and any other content you submit to the Services (“Your Data”). By using the Services, you grant TypeSpan a worldwide, non-exclusive, royalty-free license to access, process, store, display, and transmit Your Data solely for the purpose of providing, improving, and protecting the Services.

TypeSpan will not use Your Data for any other purpose, including but not limited to training artificial intelligence models, without your explicit consent. We will not sell or share Your Data with third parties except as required by law or as described in our Privacy Policy. Report data uploaded to your private report (/report) is temporary and will expire one hour after export. If you choose to convert a report to a public share link (/share), that data is retained on our servers indefinitely until you manually close the share link. Only Pro subscribers can create share links.

§ 3 Acceptable Use

You agree not to use the Services in a manner that:

• Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
• Constitutes spam or interferes with the Services, servers, or infrastructure
• Infringes or violates the intellectual property rights of others, including ours
• Violates any applicable law or regulation

§ 4 Prohibited Actions

You agree to the following restrictions:

• Do not reverse engineer, decompile, disassemble, or modify the Services in any unauthorized way
• Do not access, tamper with, or use non-public areas of the Services
• Do not probe, scan, or test the vulnerability of any system or network
• Do not spam or overuse our computing, storage, or bandwidth resources
• Do not exploit bugs or vulnerabilities; instead, please report them to us
• Do not use the Services for malicious, unlawful, or fraudulent activities
• Do not engage in any type of payment fraud, including unauthorized use of payment methods or illegitimate refund requests

§ 5 Our Services

Subject to your compliance with these Terms and payment of applicable fees, TypeSpan grants you a revocable, non-exclusive, non-transferable, non-sublicensable limited right to access and use the Services. The Services may include downloadable software, including the TypeSpan plugin, which may update automatically. As long as you comply with these Terms, we grant you a limited right to use the software solely for accessing the Services.

§ 6 Third-Party Services

The Services may operate on, with, or using services operated or provided by third parties (“Third-Party Services”), including but not limited to Paddle (payment processing), Cloudflare (application hosting, database, object storage, and content delivery), and Glyphs.app (host application). TypeSpan is not responsible for the operation of any Third-Party Services, nor for the availability or operation of the Services to the extent such availability and operation depend on Third-Party Services. Any Third-Party Services are subject to their own terms and conditions. TypeSpan makes no representations or warranties regarding Third-Party Services.

§ 7 TypeSpan’s Intellectual Property

As between you and TypeSpan, the Services, including all software, designs, trademarks, logos, and other content provided by TypeSpan, are owned by TypeSpan and protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any rights, title, or interest in the Services or TypeSpan’s intellectual property. You agree not to alter, modify, translate, or otherwise create derivative works of the Services except as expressly permitted by these Terms.

§ 8 Our Rights

TypeSpan may exercise the following rights at any time in our sole discretion, without liability to you (unless prohibited by applicable law):

• We may change part or all of the Services and their functionality
• We may suspend or discontinue part or all of the Services
• We may terminate, suspend, restrict, or disable your access to or use of part or all of the Services
• We may terminate, suspend, restrict, or disable access to part or all of your account or Your Data
• We may change eligibility criteria for using the Services, subject to applicable law

While we strive to maintain reliable service availability, we do not guarantee any specific amount of uptime or uninterrupted access.

§ 9 Paid Services

Certain features of the Services are available on a paid subscription basis (“Paid Services”). By subscribing to Paid Services, you agree to the following:

• Automatic Renewal: Your subscription will automatically renew at the end of each billing period (monthly or yearly, depending on your chosen plan) until canceled. You authorize us to charge your payment method for each renewal period.
• Cancellation: You may cancel your subscription at any time through the Paddle Customer Portal accessible from your account settings. Cancellation will take effect at the end of your current billing period.
• Payment Failure: If payment fails or cannot be processed, we reserve the right to suspend or terminate your access to Paid Services until payment is received.
• Fee Changes: We may change subscription fees at any time. We will provide you with at least thirty (30) days' advance notice of any fee increase. The new fees will take effect at your next renewal after the notice period. You may cancel your subscription before the new fees take effect if you do not agree to the increase.
• Refunds: Refund requests are subject to our Refund Policy.

Payments are processed by Paddle, our third-party payment processor and merchant of record. Your payment information is subject to Paddle’s terms of service and privacy policy.

§ 10 Termination

You may stop using the Services at any time. TypeSpan reserves the right to suspend or terminate your access to the Services for any reason, including but not limited to violations of these Terms, violations of third-party terms (such as those of Glyphs.app), or if your use of the Services would create a risk of harm or loss to us or other users. We will provide reasonable notice of termination when possible and as permitted by law.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

§ 11 Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TYPESPAN MAKES NO WARRANTIES REGARDING THE SERVICES, WHETHER EXPRESS OR IMPLIED. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TYPESPAN ALSO DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TYPESPAN DOES NOT WARRANT OR REPRESENT THAT THE SERVICES WILL: (A) BE TIMELY, UNINTERRUPTED, OR ERROR-FREE; (B) MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (C) BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the disclaimers in this section, so they may not apply to you. However, disclaimers apply to the maximum extent permitted by applicable law.

§ 12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYPESPAN SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER DIRECT OR INDIRECT, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (E) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (F) ANY BUGS, VIRUSES, MALWARE, OR OTHER MALICIOUS SOFTWARE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY; OR (G) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES.

TYPESPAN ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, ANY UNAUTHORIZED ACCESS OR USE OF THE SERVICES, ANY THIRD-PARTY SERVICES, OR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICES.

§ 13 Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless TypeSpan and its officers, directors, employees, contractors, and agents from and against all damages, losses, liabilities, costs, claims, demands, fines, awards, and expenses (including but not limited to reasonable attorneys' fees and costs) arising from or relating to: (a) your breach of these Terms; (b) Your Data, including but not limited to any claim that Your Data infringes or violates any third party rights; (c) your violation of any applicable law or regulation in connection with these Terms or the Services; or (d) your use or misuse of the Services.

Your indemnification obligations under this section do not apply to the extent directly caused by TypeSpan’s breach of these Terms.

§ 14 Related Policies

By using our services, you also agree to our Privacy Policy and Refund Policy.

§ 15 Export Control

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country. You also represent that you are not listed on any U.S. Government list of prohibited or restricted parties.

§ 16 Data Accuracy and Legal Use

TypeSpan is an automated time tracking tool. The data provided is for general reference and workflow analysis only. It should not be used as sole basis for critical legal evidence, financial audits, or formal billing disputes. You are responsible for verifying the accuracy of any data exported from the Services before relying on it.

§ 17 Changes to These Terms

We may update these Terms from time to time. If a modification materially reduces your rights, we will notify you by email or through the Services. Continued use of the Services signifies acceptance of the updated Terms.

§ 18 General Terms

These Terms constitute the complete agreement between you and TypeSpan regarding the Services. They replace any prior agreements.

If a provision is found unenforceable, the remaining provisions remain in effect. We will substitute an enforceable provision that reflects the original intent. You may not assign your rights under these Terms. TypeSpan may assign its rights to affiliates or successors.
